SERVICES

1. Services and Website. EcomBlade (referred to as “EcomBlade”, “Service”, “we” or “us”, as applicable) provides educational services intended to assist merchants selling on Indonesian Marketplaces.

2. Customers. As a customer of the Service or a representative of an entity that is a customer of the Service, you are a “Member” under this agreement (or “you”). You represent that you have full power, capacity, and authority to accept these Terms on your behalf or your company.

3. Account Requirements. To set up an account and use the Service, you must:

  • Be 17 years old, or the age of majority in your province, territory, or country, to become a Member. Individuals under the age of 17, or the applicable age of majority, may use the Service only with the involvement of a parent or legal guardian, with their account and subject to these Terms.
  • Provide your full legal name, valid email address, postal code, and any other information we request to complete the account registration process.
  • Create your account manually and personally without using any automated means, except for the autocomplete features offered by your internet service provider. Third parties may not create an account for you, and you may not allow any third party to use your information to create an account.

Account Ownership. The Member who creates the account and whose Payment Method is charged (“Account Owner”) has access to and control over the account and is responsible for any activity that occurs through the account. To maintain control over the account and prevent anyone from accessing the account, the Account Owner should maintain control over access to the Service and not disclose the password or Payment Method details associated with the account to anyone. Account owners are not permitted to share their account, login, or related access credentials with anyone unless explicitly stated otherwise in the details associated with the specific package they purchased. Without explicit multi-user authorization, all accounts are intended for single use only. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We may terminate your account or hold your account to protect you and/or EcomBlade. You must notify us immediately of any unauthorized use of your account. We are not responsible for any loss or damage from your failure to comply with these security obligations.

Payments

Billing. EcomBlade may offer the Service through various billing methods, including but not limited to, one-time subscriptions, monthly recurring subscriptions, and annual recurring subscriptions (“Subscription”). EcomBlade will bill you on the date you subscribe to the Service (“Subscription Date”), and will continue to bill you according to the Subscription you select until you cancel the Service. You must cancel your Subscription at least one day before the next billing date to avoid Subscription renewal. Fees will be charged to your Payment Method on the calendar day corresponding to the Subscription Date. Subscription fees are fully earned upon payment. In some cases, your payment date may change, for example, if your Payment Method has not successfully settled or if your Effective Date started on a day not included in a given month.

Payment Methods. To use the Service, you must provide one or more Payment Methods. You can update your Payment Methods by going to the “Account” page on our Website. After any update, you authorize us to continue charging the applicable Payment Method(s). You authorize us to charge any Payment Method associated with your account if your primary Payment Method is declined or no longer available to us for payment of your Subscription fee. You remain responsible for any uncollected amounts. If payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the Service until we successfully charge a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees relating to the processing of your Payment Method. Check with your service provider for details.

Price and Subscription Plan Changes. We reserve the right to change our subscription plans or adjust pricing for our Service or components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Except as otherwise expressly provided for in these Terms, any price changes or changes to your subscription plan will take effect following notice to you.

No Refunds. Payments are nonrefundable, and no refunds or credits will be provided for any partially used periods. However, if you wish to upgrade your package, you will receive a special discount that you can learn more about by contacting our admin on our website.

Money-Back Guarantee. Notwithstanding Section 9, if you contact our Customer Support department within 7 days of your initial registration, you are entitled to our Money-Back Guarantee. To receive your money back, you must contact our Customer Support team via Whatsapp at +62 851 5773 6316 no later than 7 days after your initial registration and request a refund. Any contact made after that 7-day period will not qualify for our Money-Back Guarantee. Only your first purchase is subject to the Money-Back Guarantee; renewal orders are not eligible for the Money-Back Guarantee under any circumstances.

Disclaimer of Warranties and Limitation of Liability

Disclaimer of Warranties. TO THE EXTENT PERMITTED BY APPLICABLE LAW, DATAPINTER OFFERS THE WEBSITE AND SERVICES AS-IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE WEBSITE OR ITS SERVICES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE. DATAPINTER DOES NOT WARRANT THAT THE FUNCTIONS OR CONTENT CONTAINED ON THE WEBSITE OR SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SPECIFICALLY, DATAPINTER MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE INFORMATION PROVIDED THROUGH THE SERVICE, EXCEPT FOR SOURCE, IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. DATAPINTER DISCLAIMS ALL RESPONSIBILITY FOR INACCURACIES, ERRORS, OR OMISSIONS IN THE SERVICE.

Limitation of Liability. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW AND THEN ONLY TO THAT EXTENT, IN NO EVENT WILL EMPLOYEES, OFFICERS, DIRECTORS, AFFILIATES, OR AGENTS BE LIABLE TO YOU ON ANY LEGAL THEORY FOR INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUES OR PROFITS, LOSS OF BUSINESS, PAIN AND SUFFERING, EMOTIONAL DISTRESS, COST OF SUBSTITUTE GOODS OR SERVICES, OR DAMAGES THAT YOU INCUR OR ARISING OUT OF YOUR USE OR INABILITY TO USE THE WEBSITE OR SERVICE (OR TERMINATION THEREOF FOR ANY REASON), EVEN IF DATAPINTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS MADE RELATING TO THE SERVICE IN ANY GIVEN MONTH SHALL BE NO MORE THAN WHAT YOU PAID THE PREVIOUS MONTH.

Results Not Guaranteed. EcomBlade makes no guarantees or representations regarding the results of using the Service. You understand and agree that EcomBlade does not make guarantees about your outcomes when using the Service. Any testimonials or examples displayed or depicted through EcomBlade’s Website, programs, or services are only examples of what may be possible and are not a guarantee of your potential results.

Changes to Terms or the Services

Changes to the Terms. EcomBlade reserves the right, in its sole discretion, to change the Terms under which the Service is offered. The most current version of the Terms will supersede all previous versions. EcomBlade encourages you to periodically review the Terms to stay informed of our updates.

Changes to the Services. EcomBlade may modify the Service or any part or element thereof from time to time without prior notice, including but not limited to:

  • Rebranding the Service at its sole discretion.
  • Ceasing providing or discontinuing the development of any particular Service or part or element of the Website temporarily or permanently.
  • Taking such action as is necessary to preserve EcomBlade’s rights under these Terms.
  • Terminating the Service, in whole or in part, for convenience or for a specific Member, at EcomBlade’s sole discretion.

EcomBlade shall have no liability to you or any third party in the event of any modification, suspension, or discontinuance of any part of the Service. If you object to any modifications, your sole recourse is to terminate your use of the Service. Continued use of the Service following notice of any such changes shall indicate your acknowledgment of such changes and satisfaction with the Service as so modified.

Miscellaneous

Governing Law. These Terms shall be governed by and construed under the laws of Indonesia, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Indonesia.

Entire Agreement. These Terms, along with our Privacy Policy and any additional terms you have agreed to with EcomBlade, constitute the entire agreement between you and EcomBlade concerning the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings concerning the Service.

Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Waiver. The failure of EcomBlade to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. EcomBlade may assign these Terms or any part thereof, and delegate any of its obligations under these Terms. You may not assign these Terms or any part thereof, nor transfer or sub-license your rights under these Terms, to any third party.

Notices. Any notices or other communications provided by EcomBlade under these Terms, including those regarding modifications to these Terms, will be given via email. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
